General Terms and Conditions of Sale and Use (T&Cs)

1. About us

EDGE Company, a single-member limited liability company (EURL) with a share capital of €4,918, whose registered office is located at 40 rue Pierre Mérigon, 33450 SAINT LOUBES, France, registered with the Bordeaux Trade and Companies Register under number 84859067500056 (hereinafter the "Company"). The Company markets the following products to its Customers via its Website: biological pest control products.

2. Preamble

The Company invites Users to carefully read these General Terms and Conditions of Sale and Use (hereinafter the "T&Cs"). Placing an Order implies acceptance of the T&Cs. The characteristics of the Products are indicated on the Website. It is the Customer’s responsibility to take them into account before making any purchase. Photographs or graphics presented on the Website are not contractual.

The Customer acknowledges having read and accepted them by ticking the box provided for this purpose before placing an online Order.

The T&Cs govern the conditions under which the Company sells its Products to Professional and Consumer Customers via its Website.

They apply to all sales concluded by the Company and prevail over any conflicting document, in particular the Customer’s general purchasing conditions.

They are systematically communicated to the Customer upon request.

In the event of subsequent modification of the T&Cs, the Customer shall be subject to the version in force at the time of the Order.

3. Definitions

"Customer" means the Professional or Consumer who has placed an Order for a Product sold on the Website;

"Order" means any order placed by a User registered on this Website;

"General Terms and Conditions of Sale and Use" or "T&Cs" mean these general terms and conditions of online sale and use;

"Consumer" means the natural person purchaser who is acting for purposes that are not related to their professional activity;

"Products" means tangible goods capable of appropriation and offered for sale on this Website;

"Professional" means the legal or natural person acting within the scope of their professional activity;

"Website" means this Website, namely maluttebio.com;

"Company" means EDGE Company, as further defined in Article 1; and

"User" means any person using the Website.

4. Registration

Registration on the Website is open to all legal entities or natural persons of legal age and having full legal capacity.

Use of the Website is conditional upon User registration. Registration is free of charge.

To register, the User must complete all mandatory fields; failing this, registration cannot be completed.

Users warrant and declare on their honour that all information provided on the Website, particularly during registration, is accurate and truthful. They undertake to update their personal information via the dedicated section available in their account.

Each registered User has a username and password, which are strictly personal and confidential and must not be disclosed to third parties under penalty of account deletion. Each User is personally responsible for maintaining the confidentiality of their login credentials. The Company shall not be held liable for identity theft of a User. If a User suspects fraud at any time, they must contact the Company as soon as possible so that appropriate measures can be taken.

Each User, whether a legal entity or a natural person, may only hold one account on the Website.

In the event of non-compliance with the T&Cs, including the creation of multiple accounts for a single person or the provision of false information, the Company reserves the right to temporarily or permanently delete all accounts created by the offending User.

Account deletion results in the permanent loss of all benefits and services acquired on the Website. However, any Order placed and invoiced before account deletion will be fulfilled under normal conditions.

If an account is deleted by the Company due to a breach of the T&Cs, the offending User is strictly prohibited from re-registering on the Website, directly or indirectly, without the Company’s express authorisation.

5. Orders

An Order may only be placed once the User has registered on the Website. When logged into their account, the User may add Products to their virtual cart. They may then access the cart summary to confirm the selected Products and place the Order by clicking the “Order” button.

The User must provide a delivery address, a delivery method and a valid payment method in order to finalise the Order and form a binding sales contract with the Company. Finalising the Order implies acceptance of Product prices as well as delivery terms and timeframes indicated on the Website.

Once the Order has been placed, the User will receive confirmation by email. This confirmation will summarise the Order and provide relevant delivery information. Placing an Order constitutes the conclusion of a distance sales contract between the Company and the Customer.

6. Products and prices

The Products governed by the T&Cs are those appearing on the Website and sold and shipped directly by the Company.

The Products are described on their respective pages on the Website, with all essential characteristics indicated. Sales are subject to stock availability. The Company cannot be held liable for stock shortages or the inability to sell a Product due to lack of inventory.

The price displayed on the Product page corresponds to the price in euros, inclusive of all taxes (VAT), excluding shipping costs, and takes into account applicable discounts in force on the day of the Order. Shipping costs are specified in the Order summary prior to confirmation. If the total cost cannot be calculated in advance, the Company will provide a detailed quotation.

No User may claim the benefit of discounts no longer in force on the day of the Order.

7. Payment conditions

Unless otherwise agreed, all sales are payable in full at the time the Order is placed.

Depending on the nature or amount of the Order, the Company reserves the right to require a deposit or full payment at the time of the Order or upon receipt of the invoice.

Payment may be made by:

  • Cheque
  • Bank transfer
  • Credit card via a secure connection

8. Delivery

The Products are delivered exclusively to the following geographical areas:

  • Mainland France
  • Corsica
  • Belgium
  • Switzerland
  • Luxembourg
  • Monaco

The Company undertakes to use all reasonable efforts to deliver the Products as quickly as possible. Delivery times may vary depending on the Customer’s location, delivery method chosen or the Product ordered.

The Company shall not be held liable for delivery delays due to peak demand periods, force majeure events, or delays attributable solely to the carrier.

9. Complaints

For all Orders placed on this Website, the Customer has 48 hours from delivery to submit a complaint. The Customer must check the apparent condition of the Products upon delivery. In the absence of expressly stated reservations, the Products shall be deemed compliant.

Disclaimer regarding the effectiveness of biological and phytosanitary products

Products sold by Maluttebio, including nematodes, pheromones, insecticides and other biological or phytosanitary solutions, are subject to specific usage conditions. Their effectiveness depends on multiple external factors beyond the Company’s control, including climatic conditions, plant type, pest development stage, application method and environment.

No guarantee of results is provided. The purchaser remains solely responsible for correct application. No refund or compensation may be claimed based on dissatisfaction with effectiveness, except in cases of proven non-compliance or manufacturing defect.

10. Consumer right of withdrawal

The Consumer has a right of withdrawal of 14 days from the date of the Order, except for products listed under Article L.221-28 of the French Consumer Code.

11. Transfer of risks and ownership

Ownership of Products remains with the Company until full payment has been received. Risk is transferred to the Customer upon delivery.

12. Legal warranties

Products sold on the Website are covered by legal warranties in accordance with applicable consumer protection laws.

13. Modifications

The Company reserves the right to modify the Website, the T&Cs and any delivery or service-related procedures at any time.

14. Personal data processing

Personal data is processed in accordance with the General Data Protection Regulation (GDPR).

15. Data sharing

The Website may use third-party service providers strictly for operational purposes.

16. Data protection

The Company implements appropriate technical and organisational measures to protect personal data.

17. Cookies

Cookies may be used to ensure optimal browsing and site functionality.

18. Liability

The Company shall not be held liable for temporary or permanent unavailability of the Website or for delivery delays beyond its control.

19. Intellectual property

The T&Cs are governed by French law. Any dispute shall be subject to the jurisdiction of the competent courts.

21. Acceptance of the T&Cs

The Customer expressly accepts these T&Cs.
